Dispute resolution and binding arbitration

Please read this section carefully. It affects your legal rights, including your right to bring a lawsuit in court and to have disputes decided by a jury.

Informal resolution first. If you have a dispute with us, you agree to first contact us through the contact page and give us 30 days to resolve it informally before starting any formal proceeding.

Agreement to arbitrate. If we cannot resolve a dispute informally, you and Quantum Beard agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the site will be resolved by final and binding individual arbitration, rather than in court, except as set out below. Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules then in effect, and judgment on the award may be entered in any court having jurisdiction.

Class action waiver. You and Quantum Beard agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding.

Jury trial waiver. To the fullest extent permitted by law, you and Quantum Beard waive any right to a trial by jury in any dispute subject to this section.

Exceptions. This section does not require arbitration of: (a) individual claims that qualify to be heard in small-claims court; or (b) claims seeking injunctive or other equitable relief to protect or enforce intellectual property rights or to address unauthorized access to the site.

Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending us notice through the contact page stating that you wish to opt out. Opting out of arbitration does not affect any other provision of these Terms.

Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. For any dispute that is not subject to arbitration under the section above, you agree to the exclusive jurisdiction of the state and federal courts located in New York.

Severability and entire agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy, make up the entire agreement between you and Quantum Beard regarding your use of the site, and supersede any prior agreements on that subject.
